INSTRUCTIONS: DE LLC CERTIFICATE OF FORMATION

 

This form is required in forming a limited liability company within the state of Delaware.  Before filling out this form, you’re advised to reserve a name for the LLC and recruit a registered agent. 

 

“DE LLC Certificate of Formation Step 1”

Provide the name of the limited liability company in the first section of this form.  If you want to reserve the name of the LLC before filing this form, it will cost $75.00 and last for 120 days.  You can reserve the LLC’s name online.  Make sure the name of the LLC meets state requirements. 

 

“DE LLC Certificate of Formation Step 2”

Provide the address for LLC’s registered office in the state of Delaware.  Provide the street address, city, and zip code.  Provide the name of the registered agent on the fourth line of second section.  The registered agent can be an individual or corporation. 

 

“DE LLC Certificate of Formation Step 3”

If the limited liability company has a forecasted date of dissolution, provide the specific date in the third section of this form.  If there is no date of dissolution, leave this section blank. 

 

“DE LLC Certificate of Formation Step 4”

The fourth section is used to address any other matters the members of the LLC wish to bring forward.  If additional space is needed, attach a separate sheet.

The authorized persons of the limited liability company need to date and sign the bottom of this form.  Make sure to print the names below the signatures.

The filing fee for this form is $90.00.  If you request a certified copy, you need to send an additional $50.  Make the check payable to the Delaware Secretary of State.  You can contact the Secretary of State for more information by calling (302) 739-3073.

An LLC in the state of Delaware does not have to file an annual report.  However, a limited liability company will still have to pay a tax of $250.00 annually.  The tax needs paid by the 1st of June every year.

Form NV General Partnership Application Packet

 

INSTRUCTIONS: NV GENERAL PARTNERSHIP APPLICATION PACKET

 

Use this application to establish a partnership in the state of Nevada.  Do not use this form if your business is exempt from licensing laws under NRS 76.020.  If exempt, complete a State Business License Exemption form. 

 

“NV General Partnership Application Packet Step 1”

A partner within the partnership needs to sign and provide their name in section 1.  The signatory takes responsible for the accuracy and completeness of this form.

State the name of the partnership in section 2.  Make sure the name is original and meets state requirements.

If other businesses are included in the partnership, provide the names in section 3.  The state allows up to four businesses within the same partnership.

Provide the physical address for the partnership’s principal office in section 4.  If the mailing address is different, list the mailing address in section 5.

List the phone number for the partnership in section 6, and include a business email in section 7.  Check the box in section 7 if you want regular electronic notices.

If the partnership already has a taxpayer identification number, list the number in section 8.  Do not provide a social security number.

The filing fee for this form is at least $200.00.  Expedited service will cost more.  Make a check payable to Secretary of State.  If you’re paying by credit card, you need to fill out the ePayment Checklist.  Check the appropriate boxes, provide the credit card information including the card holder information, and sign the bottom of the form.

Form ADV Uniform Application for Investment Adviser Registration

UNIFORM APPLICATION FOR INVESTMENT ADVISER REGISTRATION (Form ADV)

Form ADV is a United States Securities and Exchange commission form used for registration of a professional investment advising agency.  The form requires disclosure of investment styles, assets under management, and lead officers of the firm. 

The Form ADV can be obtained through the Securities and Exchange commission’s website or by obtaining the documents through an SEC local office.  

Form ADVs require extensive information about your financial advising firm, so ensure that you have all required information available before filling out the form.  Check with the Securities and Exchange Commission for more information about the required filing. 


1. The section which must be completed is Part 1A, which requires identifying information, contact information and office locations, and basic information about your firm.


2. In item 2, you must check the proper boxes indicating your registration with the SEC.  Items 3, 4, and 5 will be used for stating your form of organization. 


3. If you have any other business activities, they must be identified in item 6.


4. Continue through the form, checking the appropriately boxes which apply to your firm.  If you are unsure of rules, definitions, or about specific questions, you can search through the SEC website or call a local branch to obtain help in filling out the form. 


5. Once you have identified your information in items 1 through 11, you must now move on to schedules A, B, C, and D.  These schedules require disclosure of all ownership interests in your financial advising firm.  You must provide great detail in filling out the schedules disclosing all ownership interests. 


6. Next, you must fill in the criminal disclosure and regulatory action reporting pages, which requires disclosure of any criminal charges against members of your firm.  Full disclosure must be given or penalties may be imposed by the SEC.  


7. If any civil judicial actions have been made against your firm, they must be disclosed in the appropriate reporting page. 


8. Following completion of 1A, you must file part 1B, which is the uniform application for adviser registration. 


9. Provide all of the information required in 1B, which is similar to information provided in 1A.


10. You must fill out all parts in 1B, including criminal, regulatory, and judicial actions disclosures.  


11. Once completed, all advisers in your firm must sign the Form ADV in the final pages.
