INSTRUCTIONS: ARTICLES OF INCORPORATION-LOUISIANA BUSINESS 399

 

“Articles of Incorporation-Louisiana Business 399 Step 1”

Provide the state and county of the corporation at the top of the Articles.  State the name of the corporation in part 1, making sure the name abides by state law.

Check the appropriate box in part 2.  Only check the second box to limit corporate activity.

Indicate the estimated duration of the corporation in part 3.  You can write “perpetual” if the business is ongoing.

Provide the number of authorized shares within the corporation in part 4.  Write the estimated part value of each share in part 5.

Complete the Domestic Business Corporation Initial Report along with the Articles of Incorporation as well.  When filling out the Initial Report, pay close attention to the instructions below:

1.       Provide the name of the corporation on the first line.

2.       Enter the location and municipal address for the corporation’s registered office on line 2.

3.       Provide the full name and street address for the corporation’s registered agent on line 3. 

4.       List the names and street addresses of the first directors on line 4. 

 

Each incorporator needs to sign the bottom of this form as well.  Also, the registered agent(s) needs to provide their signature at the bottom of the form.

INSTRUCTIONS: NAME RESERVATION—CORPORATION AND LIMITED LIABILITY COMPANY 398

 

The applicant can use this form to reserve a name for a corporation or limited liability company still in the process of formation.  If the name is approved, the name is reserved for 60 days.  With good cause, the reservation can extend two times at 30 day increments.

Check the appropriate boxes at the top of this form.  The routine filing fee is $25.  Expedited service is an additional $30, and make sure to indicate if you’re paying by credit card, check or money order.

INSTRUCTIONS: ARTICLES OF INCORPORATION FOR STOCK CORPORATION

 

This form meets the minimum requirements to incorporate within the state of Maryland.  You’re encouraged to consult with an attorney while completing this form. 

 

“Articles of Incorporation for Stock Corporation Step 1”

Provide one or more individuals acting as an incorporator in the first section.  Provide a mailing address below the name(s). 

 

“Articles of Incorporation for Stock Corporation Step 2”

Enter the corporation’s name in the second section.  State law requires the corporation’s name to contain of the following designations: Incorporated, Limited, Inc., Corp., or Ltd.  Make sure the name is distinguishable from other names in the state by visiting the following link: www.dat.state.md. 

 

“Articles of Incorporation for Stock Corporation Step 3”

Provide a short description of the corporation’s purpose in the third section.  One or two sentences is enough information.

Enter the address for the corporation’s principal place of business in Maryland in the fourth section.  Enter a street address instead of a mailing address.

Provide the name and address for the corporation’s designated agent in the fifth section.  The agent can be an individual with Maryland residency or an existing corporation in Maryland.  A corporation cannot act as its own agent.

Enter the number of authorized shares in the sixth section along with the par value of each share.  If the collective par value exceeds $100,000 or there are more than 5,000 shares without par value, the filing fee for this form will increase at least $40.00.

INSTRUCTIONS: ARTICLES OF INCORPORATION F0001

 

Use this form to establish a for-profit corporation or a nonprofit corporation in the state of Mississippi.  You should fill this form out on your computer, print the completed form, and then provide the signatures at the bottom. 

 

“Articles of Incorporation F0001 Step 1”

Provide an email address for the business in the red box at the top of the form.  Then, check the appropriate box for a profit or nonprofit corporation in Article 1. 

 

“Articles of Incorporation F0001 Step 2”

State the proposed name of the corporation in Article II.  Profit corporations needs to have one of the following designations in the name: Corporation, Incorporated, Company, Limited, Corp, Inc., Co., or Ltd.

If incorporators want to delay the effective date, provide a date in Article III.  Make sure the future effective date does not extend 90 days after the filing date.

A business corporation needs to complete Article V.  Indicate the type of issued shares such as common, preferred, and more.  At least one authorized stock must exist.
