INSTRUCTIONS: CERTIFICATE OF LIMITED PARTNERSHIP LP-01

This form establishes a limited partnership in the state of Arkansas.  Applicants are encouraged to use the assistance of and attorney while completing this form. 

“Certificate of Limited Partnership LP-01 Step 1”

Provide the name of the limited partnership in the first part of the form.  The name of the limited partnership needs to contain the words “limited partnership” or one of the following abbreviations: “L.P” or “LP”.  The name cannot contain the words “limited liability limited partnership” or any similar abbreviations. 

“Certificate of Limited Partnership LP-01 Step 2”

In part 2, provide the street address of the designated office for the limited partnership.  If the mailing address is different, provide this address in part 2b. 

“Certificate of Limited Partnership LP-01 Step 3”

Provide the name of the initial agent for the service of process in part 3a.  Provide the initial agent’s street address on the next line.  If their mailing address is different from the street address, provide the mailing address on the third line. 

“Certificate of Limited Partnership LP-01 Step 4”

In part 4, provide the full name, street address, and mailing address (if different from street address) of each general partner.  If additional space is needed for more general partners, provide a separate sheet. 

“Certificate of Limited Partnership LP-01 Step 5”

Each general partner needs to sign and date the bottom of the first page. 

“Certificate of Limited Partnership LP-01 Step 6”

The contact information for the Annual Report also needs completed on the second page of this document.  Check the appropriate box for domestic or foreign, and check the first box in the entity type.  Next, provide entity name used in Arkansas and the contact person for the Annual Report.  Provide their street address or mailing address along with their telephone number and email address. 

An authorized officer needs to date and sign the bottom of this form. 

“Certificate of Limited Partnership LP-01 Step 7”

This form cannot be filed online.  The filing fee is $50.00 and the check is made payable to the Arkansas Secretary of State.  Send the Certificate to the following address:
