INSTRUCTIONS: ARTICLES OF AMENDMENT MBCA-9

A domestic business corporation can use this form to amend its Articles of Incorporation.  This form is fairly easy to complete but requires multiple attachments.  Don’t forget to include a Cover Sheet with this document. 

“Articles of Amendment MBCA-9 Step 1”

Provide the name of the corporation as it currently appears under the Secretary of State on the line at the top of the document. 

“Articles of Amendment MBCA-9 Step 2”

In Article I, state which Exhibit (attached form) the amendments appear and the date on which the corporation adopted the amendments.

Check the appropriate box in the second part of Article I.  Check the first box if the amendments were adopted by the incorporators and approval from the shareholders was not required.  Check the second box if the board of directors approved the amendments and shareholder approval was not required.  Check the last box if the shareholders approved the amendments.

If the amendments concern an exchange, reclassification, or cancellation of issued shares, state the Exhibit where the changes appear on the line in Article II.

In Article III, state the effective date of the Articles of Amendment.  If you do not enter a date, the Amendments will take effect the date the form is filed.

An authorized officer or the clerk needs to sign, date, and print their name on the bottom of this form.

The filing fee for this form is $50.00.  If you ask for expedited service, the filing fee will increase.  Make the payment payable to Maine Secretary of State.  Send the completed forms to the following address:
