INSTRUCTIONS: RESTATED ARTICLES OF INCORPORATION 08-471

 

This form is used to change the name of an active limited liability company in the state of Alaska or provide changes in the articles.  The Restated Articles of Incorporation cannot be filed when a biennial report is due.  Additionally, they cannot be filed if the signatures fail to match the signatures currently on record. 

If officers, directors, or shareholders have changed but there is no biennial report due, a Notice of Change is required before this form can be submitted.

Provide the name of the limited liability company as it currently appears under the Department of Commerce in Part 1 of this form.

In Part 2, state the new name of the limited liability company if the name is being amended.

Provide the original date the articles were originally filed with the Department in part 3.

In part 4, attach the restated articles.  If the restated articles include amendments, check the appropriate box.  Provide the date the restated articles of organization were adopted in the box below.

A member, manager or attorney representing either is required to sign the bottom of this document.  They also need to include their printed name, title, and date of signature.

INSTRUCTIONS: APPLICATION FOR RESERVATION OF NAME CNR-1-1.0

This form is used to reserve the name of a corporation, LLC, LP, LLP, or statutory trust forming in the state of Connecticut.  You’re encouraged to use the assistance of an attorney in completing this form. 

“Application for Reservation of Name CNR-1-1.0 Step 1”

Provide the name and address of the filing party in the heading of the form.  Include the city, state, country, and zip code. 

“Application for Reservation of Name CNR-1-1.0 Step 2”

Provide the reserved name in part 1 of this form.  The following rules apply to the name of your company:

1.       Corporation: the name must include one of these designations: corporation, company, incorporation, Societa per Azioni, limited, Corp., Inc., S.P.A., or ltd. 

2.       Limited Liability Company: an LLC must contain one of these designations: Limited Liability Company, Limited Liability Co., LLC, L.L.C., Ltd. Liability Company, or Ltd. Liability Co. 

3.       Limited Partnership: an LP needs to contain the term “Limited Partnership” within an abbreviation.

4.       Limited Liability Partnership: an LLP needs to contain one of these designations and the end of its name: Limited Liability Partnership,, L.L.P., Registered Limited Liability Partnership or LLP.

5.       Statutory Trust Designation: this type of company needs to contain one of the following designations: Limited Liability Trust, Statutory Trust, Limited, LLT, L.L.T., or Ltd.

Provide the name of the applicant in part 2.  Provide their street address in part 3.

In part 4, provide a date when this document was signed.  The applicant needs to provide their printed name and signature in the appropriate boxes.

 The filing fee for this form is $60.  The applicant needs to make the check payable to the Secretary of the State.  If the name reservation is approved, the name will be reserved for 120 days.  If the company does not form within 120 days, the name reservation will expire.
