Form GA 241 Application for Certificate of Authority for an LLC

 

INSTRUCTIONS: APPLICATION FOR CERTIFICATE OF AUTHORITY FOR AN LLC GA 241

 

This form allows an out-of-state or foreign corporation currently in existence to establish an office in the state of Georgia.  The form is fairly straightforward, but a limited liability company is still encouraged to hire an attorney. 

 

“Application for Certificate of Authority for an LLC GA 241 Step 1”

The filing party should provide their email address at the top of this form.  The Secretary of State will inform the party when the application has been received. 

 

“Application for Certificate of Authority for an LLC GA 241 Step 2”

Provide the name of the limited liability company in part one.  If they’ve reserved their name in the state of Georgia, provide a name reservation number as well.  Also, state the date when business commenced or was proposed in the state of Georgia.  If the date is more than 30 days to the date the application reach the Secretary of State, the LLC will have to pay a $500 fine.

State the name of the filing person on the first line in part 2.  Additionally, list the filing person’s telephone number and address including city, state, and zip code.

List the jurisdiction of the corporation (state or country) in part 3.  Provide the original date of organization as well.  Indicate the address for the principal place of business in part 4 including city, state, and zip code.

List the name for the registered agent in Georgia in part 5.  Also, print registered office street address for the registered agent on the second line.

List the name and address of the person who has responsibility of the LLC’s records in part 6.  Provide the address where the records are physically stored in part 7. 

 

“Application for Certificate of Authority for an LLC GA 241 Step 7”

The form requires an authorized signature and date at the bottom.  This form also requires a $225.00 filing fee made payable to the Secretary of State.  Mail the form and filing fees to the following address:
