When a California business or other entity has its activities suspended by either the Franchise Tax Board or the Secretary of State, it loses its ability to transact business, litigate or defend themselves in court, protest assessments of property tax made, file a claim for refunds for taxes paid, or to use its entity name. Businesses which were suspended by the Franchise Tax Board may begin the process of resuming business by filing a form FTB 3557E seeking revivorship status.

Applicants may be a stockholder, creditor, member, general partner, officer, or any person who has an interest in the entity being released from suspension or forfeiture of funds. Domestic entities may instead provide the signature of the majority of surviving directors or trustees.
