INSTRUCTIONS: CERTIFICATE OF LIMITED PARTNERSHIP KNP
Individuals or business entities can use this form to form a partnership in the state of Kentucky. Applicants are encouraged to consult with an attorney while completing this form. The completed forms can be delivered personally or mailed.
“Certificate of Limited Partnership KNP Step 1”
Provide the name of the partnership on line 1. The state of Kentucky requires the name to contain one of the following designations: limited partnership, limited, Ltd. partnership, L.P., or LP.
If the partnership is a limited liability limited partnership, the name needs to include one of the following terms: limited liability limited partnership, LLLP, or L.L.L.P.
“Certificate of Limited Partnership KNP Step 2”
List the mailing address for the principal office of the partnership in Kentucky. You can include a street address or PO Box, but make sure to include the city, state and zip code. List the street address for the partnership in part 3.
“Certificate of Limited Partnership KNP Step 3”
Enter the name of the initial registered agent in part 4. The registered agent qualifies as an individual or a business entity authorized to conduct business in the state of Kentucky.
“Certificate of Limited Partnership KNP Step 4”
List the full name and street address of each general partner in part 5. Do not provide a PO Box for the address. If additional space is needed, attach a separate form. If the limited partnership elects to become a limited liability limited partnership, check the box in part 6.
“Certificate of Limited Partnership KNP Step 5”
Provide a date in part 7 if you do not want the Certificate to become effective upon filing. Do not provide a date earlier than the date of filing.
“Certificate of Limited Partnership KNP Step 6”
Each general partner is required to sign the bottom of this form. They need to provide their printed name and date of signature as well. The partnership’s registered agent also needs to provide their signature at the bottom of this form.
“Certificate of Limited Partnership KNP Step 7”
The filing fee for this form is $40. Make the check payable to Kentucky State Treasurer. If you’re mailing the form, use the following address:
