INSTRUCTIONS: ARTICLES OF INCORPORATION-LOUISIANA BUSINESS 399

 

“Articles of Incorporation-Louisiana Business 399 Step 1”

Provide the state and county of the corporation at the top of the Articles.  State the name of the corporation in part 1, making sure the name abides by state law.

Check the appropriate box in part 2.  Only check the second box to limit corporate activity. 

 

“Articles of Incorporation-Louisiana Business 399 Step 3”

Indicate the estimated duration of the corporation in part 3.  You can write “perpetual” if the business is ongoing.

Provide the number of authorized shares within the corporation in part 4.  Write the estimated part value of each share in part 5.

List the name and full mailing address for each incorporator in part 6.  If you need additional space, attach a separate sheet.  Include any other provisions in part 7 of this form.  Each incorporator needs to sign this form and have the form notarized.

Complete the Domestic Business Corporation Initial Report along with the Articles of Incorporation as well.  When filling out the Initial Report, pay close attention to the instructions below:

1.       Provide the name of the corporation on the first line.

2.       Enter the location and municipal address for the corporation’s registered office on line 2.

3.       Provide the full name and street address for the corporation’s registered agent on line 3. 

4.       List the names and street addresses of the first directors on line 4. 

 

Each incorporator needs to sign the bottom of this form as well.  Also, the registered agent(s) needs to provide their signature at the bottom of the form.

Fill out the Transmittal Information before filing the forms with the Secretary of State.  The routine filing fee is $60, and expedited service is $30 more.  The forms needs filed with Secretary of State within 5 working days after the corporation’s existence.  Send the forms to the following address:

The corporation needs to send a certified copy of the Articles, Certificate of Incorporation, and Initial Report to the office of the recorder of mortgages in the county of the corporation’s registered office within 30 days.
